TERMS OF SERVICE

1. Agreement

These Terms of Service (the "Terms") govern your access to and use of the website at https://niki-tsivitanou.netlify.app and the services offered through it (the "Services"). The Services are provided by Niki Tsivitanou, an independent consultant based in Cyprus ("I", "me", "my").

By accessing the website, purchasing a service, or otherwise interacting with the Services, you ("you", "client") agree to be bound by these Terms. If you do not agree, do not use the Services.

These Terms apply to all Services I offer, including The Conversion Fix, The Funnel Watch, and any future products or services. They apply alongside the Scope Document for any specific service you purchase. Where these Terms and a Scope Document address the same topic, the Scope Document controls.

2. The Services

I offer productized advisory work for SaaS founders, currently in two formats:

Each engagement is governed by a separate Scope Document that defines specifically what is delivered, what is required from you, and how refunds work. The Scope Document forms part of the agreement between us when you purchase a service. New services I introduce in future will be governed by these same Terms, together with their own Scope Document.

3. Eligibility

To use the Services, you must:

The Services are intended for adults operating businesses. They are not directed at minors and not appropriate for personal or consumer use.

4. Payment, Pricing, and Currency

All prices are listed in US Dollars (USD) and are exclusive of any applicable taxes, duties, or bank fees you may incur on your side.

Payment is processed through Stripe. By paying, you agree to Stripe's terms and privacy policy (available at https://stripe.com/legal and https://stripe.com/privacy). I do not store or process your card information directly.

Payment is due in full at the time of purchase. For one-time services (such as The Conversion Fix), the full amount is charged upfront. For recurring services (such as The Funnel Watch), the monthly amount is charged on a rolling 30-day cycle starting on the date of first purchase, until you cancel.

If a payment fails, is reversed, or is charged back without prior contact with me, I reserve the right to suspend or terminate the engagement.

5. Cancellation and Refunds

Cancellation and refund terms depend on the service purchased.

One-time services (The Conversion Fix)

Once you have submitted the intake form with the access and data required to start, work has begun and a refund is governed by the Scope Document for that service. In summary, the Scope Document provides a defined remedy: if the delivered work does not match the scope, I will revise it once at no additional cost; if after revision it still does not match the scope, you receive a full refund.

If you have paid but not yet submitted the intake form, you may request a full refund within 7 days of payment by emailing me at the address at the bottom of this document.

Recurring services (The Funnel Watch)

You may cancel a monthly retainer at any time by emailing me at the address at the bottom of this document. Cancellation takes effect at the end of the current billing cycle. You will not be charged for the following cycle. Partial-month refunds are not provided for already-billed cycles, as the work for that cycle is delivered on a rolling basis throughout the month.

6. Your Responsibilities

To allow me to deliver the Services, you agree to:

Failure to meet these responsibilities — for example, not providing required access or data — may delay or prevent delivery. I am not responsible for delays caused by missing or incorrect inputs from your side.

7. Intellectual Property

Ownership of the Services

The website, the underlying methodology, the playbooks, and all written materials, templates, frameworks, and analytical approaches I use to deliver the Services remain my intellectual property. Nothing in these Terms transfers ownership of any of the above to you.

Ownership of deliverables

Once you have paid for an engagement, you receive a non-exclusive, non-transferable, perpetual license to use the specific recommendations and written deliverables produced for your engagement, within your business. This means: your team can read, share, implement, and reference the deliverables internally. It does not mean: you can republish, resell, or distribute the deliverables to third parties.

Use of anonymized patterns

I may use anonymized, non-identifying patterns and observations from engagements — for example, common funnel mistakes I see across multiple SaaS products — for educational content, talks, or future versions of the Services. I will never use your name, your company name, your specific data, or anything that would identify you, without your prior written permission.

8. Confidentiality

Anything you share with me as part of an engagement — including your product, your data, your funnel metrics, and your business situation — is treated as confidential. I will not share it with third parties except where strictly necessary to deliver the Services (for example, with service providers under contract, as outlined in the Privacy Policy), or where required by law.

If I would like to reference your engagement publicly — for example, as a case study, testimonial, or in marketing — I will ask for your explicit written permission first.

9. Acceptable Use

You agree not to use the Services to:

I reserve the right to terminate any engagement and refuse future Services to anyone who violates these terms.

10. No Legal, Financial, or Other Professional Advice

The Services consist of conversion optimization recommendations based on operator experience in the SaaS industry. They do not constitute legal, financial, tax, accounting, medical, or other regulated professional advice. You are responsible for evaluating recommendations in light of your own business context, applicable laws, and the advice of qualified professionals where relevant.

11. Disclaimer of Warranties

The Services are provided "as is" and "as available." While I deliver each engagement with care, I make no warranty — express or implied — that:

Business results depend on many factors outside this engagement, including how you implement the recommendations, how your market responds, your pricing, your product, your team, and conditions in your industry. The deliverable is the recommendation. The outcome is yours to own.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

These limitations apply even if I have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Niki Tsivitanou and any contractors or agents from any claim, loss, damage, liability, or expense (including reasonable legal fees) arising out of:

Either of us may terminate an engagement under the following circumstances:

Termination does not affect any rights or obligations that have already accrued, including payment for work already delivered and obligations of confidentiality and intellectual property.

15. Changes to These Terms

I may update these Terms from time to time. When I do, I will update the "Last updated" date at the top. Material changes will be communicated through the website. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms. The version of the Terms in force at the time you purchased a service governs that engagement until it concludes.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Cyprus, without regard to its conflict-of-law principles. Any dispute arising out of or in connection with these Terms or the Services will be subject to the exclusive jurisdiction of the courts of Cyprus.

Before initiating any legal action, both parties agree to first attempt to resolve the dispute through good-faith email correspondence for a period of at least thirty (30) days.

If you are a consumer based in the European Union, nothing in these Terms removes any mandatory consumer protection rights you have under the laws of your country of residence.

17. Miscellaneous

Entire agreement

These Terms, together with the relevant Scope Document for any service you purchase and the Privacy Policy, constitute the entire agreement between you and me regarding the Services, and supersede any prior agreements or understandings.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.

No waiver

Failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without my prior written consent. I may assign these Terms in connection with a sale, merger, or transfer of all or part of my business.

Force majeure

Neither party is liable for any failure or delay in performance caused by circumstances beyond reasonable control, including but not limited to acts of nature, illness, government action, disruption to internet services, or third-party service provider outages.
